Terms of Service

Please read these Terms of Service ("Terms") carefully before engaging services with Resonating Brands ("Company," "we," "us," or "our"). By signing a service agreement, making a payment, or otherwise engaging our services, you ("Client" or "you") agree to be bound by these Terms.

1. Services Provided

Resonating Brands provides website design and development, AI-assisted chat and voice agents, local SEO services, digital marketing strategy, and related services for small and mid-sized businesses. Specific services, deliverables, and pricing are outlined in your individual service agreement or proposal.

2. Website Ownership on Monthly Plans

2.1 Our Mission: Great Websites at Accessible Prices

Resonating Brands is committed to making professional, high-quality websites available to small businesses at low monthly prices. To offer these affordable rates, we invest significant time, expertise, and resources upfront — including design, development, custom configuration, and ongoing technical support — before we have fully recovered those costs.

Our monthly pricing model is designed so that small businesses are not required to pay a large lump sum at the start. Instead, costs are distributed over time, making professional web presence achievable for businesses of all sizes.

2.2 The Two-Year Ownership Vesting Period

Because of this upfront investment, websites delivered under a monthly payment plan are subject to the following ownership policy:

Full ownership of your website — including all design files, code, and related assets produced by Resonating Brands — transfers to you, the Client, only after you have completed twenty-four (24) consecutive months of successful, on-time payments as specified in your service agreement.

In plain terms:

• During the first 24 months of your plan, Resonating Brands retains ownership of the website and all associated files.
• After 24 consecutive months of successful payments have been made, full ownership transfers to you automatically.
• If your plan is cancelled or payments lapse before the 24-month period is complete, Resonating Brands retains all rights to the website and its files.

2.3 Why This Policy Exists

We want to be fully transparent about why this policy is in place:

When we build your website, we invest many hours of skilled design and development work before your first payment is ever received. Our low monthly pricing is only possible because we spread the recovery of those costs over the life of your contract. If a client were to take ownership of the site before we have had a reasonable opportunity to recoup our investment, we would be unable to sustain the affordable pricing model that makes our services accessible to small businesses.

This two-year vesting period is not intended to be restrictive — it is what makes our pricing model work. We appreciate your understanding and partnership.

2.4 Your Rights During the Vesting Period

While ownership vests over 24 months, you retain the following rights:

• Your website remains fully live and operational throughout your plan.
• You retain full use of the website for your business purposes.
• Content you provide (text, images, logos, and other materials owned by you) remains your property at all times.
• You may request reasonable content updates per the terms of your service agreement.

2.5 Early Buyout Option

If you wish to take full ownership of your website before the 24-month period has concluded, you may request an early buyout. The buyout amount will be calculated based on the remaining balance of the full project value, less payments already made. Please contact us at any time to discuss this option.

3. Payment Terms

• Monthly fees are due on the date specified in your service agreement.
• Payments more than 7 days past due may result in suspension of your website.
• Payments more than 30 days past due may result in permanent termination of services and forfeiture of ownership rights as described in Section 2.
• All fees are non-refundable unless otherwise stated in writing.

4. Client Responsibilities

You agree to:

• Provide accurate and up-to-date information required to perform the services.
• Supply content (text, images, logos) in a timely manner to avoid project delays.
• Ensure that any content you provide does not infringe on the intellectual property rights of others.
• Maintain the login credentials and access information provided to you securely.

5. Third-Party Platforms and Services

Your website may be built on or integrated with third-party platforms (including but not limited to hosting providers, domain registrars, form services, or CRM tools). Resonating Brands is not responsible for outages, changes, or discontinuation of third-party services. Costs associated with third-party platforms (such as hosting fees or domain registration) are the Client's responsibility unless explicitly included in your plan.

6. Intellectual Property — General

All creative work, code, and design produced by Resonating Brands remains the exclusive property of Resonating Brands until ownership transfers as described in Section 2. You may not copy, redistribute, resell, or transfer our work to any third party during the vesting period without our prior written consent.

Content you provide to us (your logos, photos, written copy, etc.) remains your property at all times.

7. Limitation of Liability

Resonating Brands shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of, or inability to use, our services or your website. Our total liability for any claim arising from our services shall not exceed the total amount paid by you to us in the three (3) months preceding the claim.

8. Termination

Either party may terminate services with 30 days' written notice. Upon termination:

• Any outstanding balances become immediately due.
• If the 24-month vesting period has not been completed, website ownership is retained by Resonating Brands.
• If the 24-month vesting period has been completed, you retain full ownership of the website.
• Content you provided (your images, text, and logos) will be made available to you upon request within 14 days of termination.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the business relationship, and not to disclose such information to third parties without prior written consent.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Michigan.

11. Changes to These Terms

Resonating Brands reserves the right to update these Terms at any time. Clients will be notified of material changes via email or written notice. Continued use of our services following such notice constitutes acceptance of the updated Terms.
